Terms & Conditions

1. GENERAL PROVISIONS

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

These Terms of Use constitute a legal agreement in electronic form governing the User's access to or use of the applications, websites, content, products, and services (the “Services”) provided by VUA THO TECHNOLOGY LIMITED LIABILITY COMPANY, a business established under the laws of Vietnam, with its office at 32/28, 35 Street, An Khanh Ward, Thu Duc City, Ho Chi Minh City, Business Registration Certificate No. 0318063280 dated September 25, 2023 (“Vua Tho”).

These Terms of Use and any amendments or supplements thereto may be published by Vua Tho from time to time on the website www.vuatho.com and/or within the Vua Tho Application. Vua Tho reserves the right to adjust, amend, supplement, or terminate any of these Terms of Use and/or policies related to the Services at any time Vua Tho deems appropriate. Such changes will become effective immediately upon being posted. You should review these Terms of Use regularly when using the Services.

Your continued use of the Application and/or the Services following any changes shall constitute your consent to and acceptance of such changes.

By using the Services or creating an account with the Vua Thợ Application, you accept and agree to these Terms of Use and any supplementary policies referenced herein. If you do not agree to these terms, please do not use the Services or access the Vua Thợ platform. If you are a minor or legally incapacitated as determined by law, you must obtain permission from a parent or legal guardian to open an account, and that parent or legal guardian must agree to these Terms of Use. If you are unsure about your age or legal capacity, please seek assistance from a parent or legal guardian before creating an account. If you are the parent or legal guardian of a minor or legally incapacitated individual, you must accept these Terms of Use on their behalf and you are responsible for all use of the account or Services.

2. DEFINITIONS AND INTERPRETATION OF TERMS

For the purposes of these Terms, the following terms shall have the meanings ascribed to them below:

  • “Vua Thợ” refers to Vua Thợ Technology Limited Liability Company, operating under the Business Registration Certificate No. 0318063280, first issued on September 25, 2023, by the Department of Planning and Investment of Ho Chi Minh City.
  • “Application” refers to the Vua Thợ mobile application and other digital platforms managed and operated by Vua Thợ.
  • “Services” refers to all connection services and other related services provided by Vua Thợ through the Application.
  • “User” refers to any individual or organization that creates an account, accesses, or uses the Application, including Customers and Service Providers. The terms “You” and “Your” in these Terms refer to the User.
  • “Customer” refers to a User who utilizes the Application to search for and request the performance of a Service.
  • Service Provider refers to a User, being an individual or entity qualified under applicable law, who cooperates with Vua Thợ and uses the Application to provide Services to Customers.
  • “Work Order” refers to a specific service request created by a Customer through the Application and accepted by a Service Provider. A Work Order constitutes a direct agreement between the Customer and the Service Provider regarding the scope of work, costs, and other related terms.

3. COMMITMENTS

Commitments during the use of the Application

You represent and warrant that:

  • You have the full legal capacity to agree to and comply with these Terms of Use.
  • The information you provide to Vua Thợ is always current, complete, and accurate.
  • Your use of the Application is for lawful purposes only.
  • You will not grant any other person access to your account, whether it is a Customer Account or a Service Provider Account, including transferring your account.
  • You are responsible for ensuring that you have downloaded the correct version of the Application compatible with your device. Vua Thợ is not liable for any issues arising from the use of an incompatible version.

Commitments When Using the Services

By using the Application, you agree that:

  • You will not use the Application for any unlawful, fraudulent, or harassing purposes, nor will you violate any applicable laws of Vietnam.
  • You will not use the information of Vua Thợ, other Service Providers, or other Customers for any purpose other than the performance of the Services.
  • You will not engage in any act that could harm the Application or the reputation or property of Vua Thợ, Service Providers, or Customers.
  • You are solely responsible for maintaining the confidentiality of your account password.
  • You will provide any proof of identity that Vua Thợ may reasonably request. Vua Thợ reserves the right to terminate the Services if the information You provide is found to be inaccurate.
  • You will not engage in fraudulent behavior to gain unjust benefits from any promotional activities conducted by Vua Thợ.
  • You will not cancel Work Orders repeatedly without valid reason.
  • Vua Thợ has the right to block or deny access to Your account if it believes You have violated any of these Terms.
  • You are responsible for any telecommunication charges incurred while using the Application.
  • You are ultimately responsible for Your own safety while using (as a Customer) or providing (as a Service Provider) the Services and must take all necessary precautions.
  • You assume full legal liability for any loss or damage caused to Yourself, Service Providers, Vua Thợ, or any third party arising from Your violation of any law or these Terms.

4. CONTENT OF THE SERVICE PROVIDED BY Vua Thợ THROUGH THE CONNECTING PLATFORM

4.1. Technology platform:

Vua Thợ provides a technology platform that enables Customers to use the Application to find and connect with Service Providers to perform various services according to the Customer's own needs and decisions. Vua Thợ is a technology service provider and does not function as an employment agency.

4.2. Other Services:

Refers to other services displayed on the Application or communicated to You through any other means by Vua Thợ Technology Limited Liability Company.

5. PAYMENT

a. Service Fees and Payment Terms:

  • Cancellation of Work Sessions: In the event that a Customer cannot arrange a work session within a pre-paid Work Order, the session will be rescheduled. This rescheduled session must be completed within a maximum of one (1) month from the Work Order's expiration date, after which Vua Thợ shall have no further obligation to connect a Service Provider for that session.
  • Basis for Service Fee Calculation: The Service Fee is based on the time the Service Provider spends performing the work at the Customer's location, as recorded in the Application. Vua Thợ reserves the right, at its sole discretion, to establish, remove, and/or revise Service Fees at any time. You acknowledge that Fees may increase significantly during times of high demand, and you agree to be responsible for all Fees incurred under Your Account.
  • In the event of overtime work beyond the agreed-upon hours, the Customer must notify Vua Thợ in advance.

b. The following periods shall also be considered the Service Provider's working time:

  • The Service Provider has arrived at the work location at the scheduled time, but the Customer is not available to grant access for the work to be performed within a 30-minute period. In this case, the working time for that session will be charged at 100% of the scheduled time for that session in the Work Order.

c. Payment methods:

  • Customers may pay before or immediately after the Service is completed by selecting one of the available payment methods in the Application:
    • Bank transfer to the designated collection account.
    • Cash payment to the Service Provider.
  • You agree to pay the fees for the services (“Fees”) obtained through the platform. After You have received the service, Vua Thợ will collect the relevant Fee payments on behalf of the Service Provider. Where required by law, Fees will include applicable taxes.
  • Vua Thợ may refuse any transaction if it suspects fraudulent or illegal activity or a violation of these Terms. You are responsible for resolving any disputes with Your card issuer.

6. PROMOTIONS

Vua Thợ may, in its sole discretion, make promotional offers available to any User.

If you choose to participate, You agree that promotions:

  • may only be used by the intended audience, for the intended purpose, and in a lawful manner.
  • may not be duplicated, sold, or transferred in any way, unless expressly permitted by Vua Thợ.
  • are subject to the specific terms that Vua Thợ establishes for such promotion.
  • are not redeemable for cash.
  • may expire prior to Your use.

7. RIGHTS AND OBLIGATIONS OF THE PARTIES

7.1 Rights and Obligations of the Customer:

  • To request that Vua Thợ provide information about the Service Provider related to a Work Order.
  • To ensure a safe and healthy working environment for the Service Provider (free of hazardous materials, harassment, or infringement upon the life, honor, dignity, or body of the Service Provider).
  • To be solely responsible for the management and safeguarding of their own assets.
  • To ensure timely payment as stipulated herein.
  • To promptly notify Vua Thợ within 24 hours of any negative behavior from a Service Provider.
  • Not to enter into separate agreements with the Service Provider to alter the scope of work or terms established in the Work Order. In case of violation, the Customer shall pay Vua Thợ a compensation fee equivalent to 10% of the value of the Work Order.
  • To inspect their property when the Service Provider leaves the work location.
  • In case of suspected unlawful conduct by a Service Provider, the Customer shall not disseminate any information that could affect the reputation of Vua Thợ or the Service Provider until there is a conclusion from the competent authorities.

7.2 Rights and Responsibilities of the Vua Thợ:

  • Vua Thợ has the right to request that you provide accurate information and documents.
  • Vua Thợ has the right to require You to pay the Service Usage Fees in full.
  • Vua Thợ has the right to unilaterally terminate or suspend the provision of the Application Services in the event of Your breach of these Terms, and may claim compensation for damages.
  • To connect Customers with Service Providers whose backgrounds have been reasonably verified.
  • To regularly exchange and receive feedback from You regarding service quality.
  • To maintain the confidentiality of Your information in accordance with Vua Thợ's Privacy Policy.

8. SERVICE WARRANTY POLICY

8.1. Nature of the Warranty Service:

The Service Warranty is a voluntary and non-mandatory commitment offered by a Service Provider to a Customer through the Application during the quotation phase for a Work Order. It is an additional feature intended to enhance trust between the Customer and the Service Provider.

8.2. Warranty Agreement:

a. The Service Provider has the sole discretion to offer or not offer a warranty option for a specific Work Order. The warranty period (up to a maximum of 24 months) and its scope will be clearly stated by the Service Provider in the offer.

b. The Customer's acceptance of a Work Order that includes a warranty offer shall constitute a separate and direct legal agreement regarding the warranty obligation between the Customer and the Service Provider.

8.3. Disclaimer of Vua Thợ's Responsibility:

a. Vua Thợ is NOT the provider of, guarantor of, or in any way responsible for fulfilling the warranty obligation. Vua Thợ's role is strictly limited to providing the technology platform that enables the Service Provider to offer this option to the Customer.

b. All issues, complaints, and costs arising from the fulfillment or non-fulfillment of the warranty commitment are the sole and entire responsibility of the Service Provider.

8.4. Responsibilities of the Service Provider and Customer:

a. The Service Provider is responsible for fully and honestly executing the warranty commitments made to the Customer in the Work Order, including but not limited to rectifying issues and covering all related costs.

b. The Customer is responsible for communicating directly with the Service Provider to request warranty fulfillment according to the agreed-upon terms.

8.5. Vua Thợ's Role in Dispute Support:

In the event of a dispute related to the warranty, Vua Thợ, acting as an intermediary, will:

a. Assist the parties in verifying the relevant information recorded in the Application (e.g., the content of the Work Order, accepted warranty terms).

b. Facilitate dialogue and negotiation between the Customer and the Service Provider.

c. Vua Thợ has no authority to make a final decision or compel either party to perform an obligation. The responsibility for resolution remains with the Customer and the Service Provider.

8.6. Customer's Acknowledgment:

By accepting a warranty offer from a Service Provider on the Application, the Customer acknowledges that they have read, understood, and agreed that this is a private agreement with the Service Provider, and thereby releases Vua Thợ from any and all legal liability related to this warranty obligation.

9. CONFIDENTIALITY

As a User of the Application, You must keep confidential all information and data related to Vua Thợ, its services, products, business operations, marketing and promotional plans, or other activities of Vua Thợ and its affiliated companies, as well as personal data related to a Service Provider or their services (if any), and personal data related to Users that has been disclosed to You by Vua Thợ or its representatives (whether verbally or in writing, before, on, or after the date of these Terms of Use) or was collected by You, directly or indirectly, from Vua Thợ or any of its other affiliated companies, or was generated in the course of entering into these Terms of Use.

Unauthorized disclosure of the aforementioned information may lead to termination of service, a claim for damages, or civil liability in accordance with the law.

10. PERSONAL DATA PRIVACY POLICY

Vua Thợ is committed to protecting Your data as specified in the Vua Thợ Privacy Policy, which governs the collection and use of personal information in connection with our Services and is available at www.vuatho.com.

11. DISCLAIMER OF WARRANTIES

The Vua Thợ makes no representations, warranties, or liabilities for the reliability, timeliness, punctuality, quality, suitability, availability, accuracy, or completeness of the Services provided through the Application, and/or regarding promotional/discount programs.

The Vua Thợ does not guarantee that:

  • The Application, related support software will be error-free or defect-free.
  • The quality of any products, services, information, gifts, or offers that You purchase or obtain through the Application will fully meet Your requirements or expectations.
  • The Service, Application will fully meet Your requirements or expectations.
  • The Application and/or the server(s) on which the Application operates will be free of viruses or other harmful components.
  • The use of the Service on the Application and/or other support software will be secure, timely, uninterrupted, or error-free or will operate in combination with any hardware, software, systems, or data.

The Vua Thợ will be exempt from liability in the following cases:

  • Losses that You may suffer due to the inability to access or use the Application for reasons such as:
    • Inability to access or use the application due to Internet connection errors.
    • Hardware or software failures beyond the control of the Company.
    • Losses due to Internet errors, machinery errors, or system maintenance errors.

You acknowledge and fully agree that the Services provided by the Partner through the Vua Thợ Application are entirely the responsibility of the Partner. You acknowledge and agree that all risks arising from the use of services, promotions, and any services of the Partner, including but not limited to the services and/or promotions of the Partner, are entirely yours, and You will not sue the Vua Thợ in any form.

Any complaints of Yours regarding any losses or damages that You may suffer will be a matter between You and the service-providing Partner. You hereby clearly waive and release the Vua Thợ from any and all responsibilities, claims, lawsuits, or damages arising from the use of the Service through the Vua Thợ Application.

The Customer, Service Provider, and Vua Thợ commit to fully cooperating with competent state authorities in the event of a dispute involving elements of a criminal or civil law violation.

12. INTERNET DELAYS

The Services provided through the Application may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications, including the device used by You or the Service Provider being faulty, not connected, out of range, powered off, or not functioning. Vua Thợ shall be completely exempt from liability for any damages or losses arising from such problems.

13. LIMITATION OF LIABILITY AND INDEMNITY

By agreeing to these Terms, You agree to indemnify and hold harmless Vua Thợ, its affiliates, officers, directors, employees, and agents from and against any and all claims, costs, damages, losses, and liabilities (including attorneys' fees) arising out of or in connection with:

(a) Your use of the Services and/or Application in Your transactions with a Service Provider or Customer, as the case may be;

(b) Your violation of any of these Terms or any applicable law;

(c) Your violation of the rights of any third party, including Service Providers or other Users; or

(d) Your use or misuse of the Services and/or Application.

(e) when operating any vehicle to provide the Services. For the avoidance of doubt, the determination of damages and the level of compensation will be based on the regulations and principles of the current Civil Code of Vietnam.

14. NOTICES

Vua Thợ may give notice by means of a general notice on its website, on the Application, by electronic mail to Your email address in Vua Thợ's records, or by written communication sent by registered or pre-paid post to Your address in the Company's records.

Such notice shall be deemed to have been given to You after 48 hours of posting (if sent by registered or pre-paid post) or 1 hour after sending (if sent by email).

You may give notice to Vua Thợ by email to marketing@vuatho.com, or by post or registered mail to the Company's address as provided on the website or Application. Such notice shall be deemed to have been given when it is received by Vua Thợ.

15. ASSIGNMENT

You may not assign your rights and obligations under these Terms of Use without the prior written consent of Vua Thợ. Any purported assignment of your rights and obligations under these Terms of Use by You in violation of this section shall be void.

Vua Thợ may assign its rights and obligations under these Terms of Use without your consent.

16. DISPUTE RESOLUTION

These Terms of Use shall be governed by the laws of Vietnam.

Any dispute arising hereunder shall first be resolved through negotiation. If negotiation fails, the dispute shall be resolved at a competent People's Court.

Notwithstanding any other provisions, any dispute or complaint between a Customer and a Service Provider must be resolved directly between those two parties. Vua Thợ may provide support but is not a party to such disputes.
